In these Terms, “we”, “us” and “our” mean Basic Wavez Holdings Ltd. “You” means the person or business using our website or products.

2. These Terms

These Terms govern your use of basicwavez.com and the digital products we supply through it, including sample packs, presets, plugins, project files, educational content and bundles.

Please read these Terms before purchasing. By placing an order, you agree to these Terms and any additional product terms presented before purchase.

If you purchase on behalf of a business, you confirm that you have authority to accept these Terms for that business.

Services accessed through links to other websites may have separate terms, which will be identified on those websites.

3. Orders, prices and Paddle

The product description explains what your purchase includes. Please review the description, compatibility information and any licence restrictions before ordering.

The price, currency and applicable taxes payable will be shown at checkout before you confirm your purchase.

Where you purchase through Paddle, our order process is conducted by our authorised online reseller, Paddle.com. Paddle acts as the Merchant of Record and is the seller for that transaction. Paddle handles payment collection, applicable transaction taxes, billing enquiries and refund processing. Basic Wavez supplies the product and provides product and technical support.

Purchases through Paddle are also subject to the Paddle Buyer Terms and Paddle Refund Policy. Those terms govern your transaction with Paddle. These Terms govern your relationship with Basic Wavez and your use of our products.

Paddle’s role applies only to purchases made through Paddle. Your receipt identifies the seller for your purchase.

4. Digital delivery and compatibility

Our products are supplied digitally. After successful payment, access will be provided through the download link, account, licence key or other delivery method described at checkout or in your order confirmation.

Please provide an accurate email address and contact us if you cannot access your purchase.

You are responsible for checking the published system requirements, supported software versions and any required third party software. This does not affect your rights if our compatibility information is inaccurate or the product does not work as described.

Keep secure backups of downloaded files and your own projects. Any access period or included support entitlement stated before purchase forms part of your agreement with us.

5. Samples, presets and project files

Our products are licensed to you. Ownership of the underlying sounds, files and other intellectual property remains with us or our licensors.

You may use our sounds and presets in your own original musical compositions, including commercially released music, without paying us additional royalties or crediting Basic Wavez.

You must not resell, share, distribute or give away the underlying sounds or presets, either individually or as part of sample packs, preset packs, project files, templates or competing products.

You must not export a supplied demonstration project and release it as your own original music.

Your licence does not give you exclusive ownership of sounds that are also licensed to other customers.

6. Plugins and educational content

You may use purchased plugins for your own music production, including commercial projects, subject to any product licence presented before purchase.

Any device limits, activation requirements or other specific licence conditions will be stated in the applicable product information or licence agreement. A specific product licence takes precedence over these Terms only for the licensing matters it expressly addresses.

You must not distribute plugins, share licence keys, bypass licence protection or reverse engineer software, except where applicable law permits this.

Courses, tutorials and other educational materials are supplied for your own learning. You may apply the techniques you learn, but you must not reproduce, publish, resell or share the instructional materials without permission.

7. Refunds and consumer rights

Refund requests are handled under our Refund Policy.

Nothing in these Terms limits rights or remedies that cannot legally be excluded, including rights relating to faulty, misdescribed or undelivered digital content.

8. Accounts and acceptable use

You must provide accurate account information, keep your login details secure and notify us if you believe someone has accessed your account without permission.

You must not use our website or products unlawfully, infringe another person’s rights, introduce malicious software, interfere with our systems or attempt to access accounts or information without authorisation.

9. Product support and updates

For help with downloads, installation, compatibility or product functionality, contact support@basicwavez.com.

Any entitlement to updates, upgrades or ongoing support will be as described before purchase, together with any updates or support required by applicable law.

We may maintain and improve our website and products. We will not use these Terms to remove paid entitlements or materially reduce the functionality promised at purchase without an appropriate remedy where required by law.

10. Privacy

Our Privacy Policy explains how Basic Wavez handles personal information.

For purchases through Paddle, Paddle also processes personal information in accordance with its own Privacy Notice.

11. Our responsibility

We will supply our products with reasonable care and skill and in accordance with their descriptions and applicable law.

We do not promise particular creative, commercial or financial results from using our products.

If you are a consumer, we are responsible for loss or damage that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill.

If you purchase for business purposes, to the extent permitted by law, we are not responsible for indirect or consequential losses, including lost profits or business opportunities.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot legally be excluded or limited.

12. Suspension and termination

We may restrict access to an account or terminate a product licence where you materially breach these Terms, distribute products without permission or use our services fraudulently or unlawfully.

Where appropriate, we will explain the reason and give you a reasonable opportunity to resolve the issue. We may act immediately where necessary to address a serious security risk, unlawful activity or ongoing infringement.

Any action will be proportionate and subject to applicable law. It will not remove refund rights or other remedies to which you are legally entitled.

13. Changes to these Terms

We may update these Terms and will change the date above when we do.

The version accepted at purchase will continue to govern that purchase unless a change is lawfully agreed with you. We will not retrospectively reduce your existing licence rights by publishing revised Terms.

If a provision is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

14. Governing law and complaints

These Terms and your relationship with Basic Wavez are governed by the laws of England and Wales.

If you are a consumer, this does not deprive you of mandatory protections under the law of your country of residence or any right to bring proceedings in your local courts.

For business customers, the courts of England and Wales have exclusive jurisdiction over disputes with Basic Wavez.

This section does not change the provisions governing your separate agreement with Paddle.
